Terms & Conditions

Welcome to MaruTally. These Terms & Conditions ("Terms") govern your use of the MaruTally SaaS platform, APIs, desktop client, and related services ("Service"). By registering for an account or using our Service, you agree to be bound by these Terms.

1. Service Description

MaruTally provides automated accounting synchronization between ecommerce marketplaces (such as Amazon, Flipkart, Shopify) and TallyPrime. The Service requires you to grant MaruTally authorization to access your marketplace accounts via official Application Programming Interfaces (APIs).

2. Amazon SP-API Authorization & Usage

To utilize our Amazon integration features, you must authorize MaruTally via the Amazon Selling Partner API (SP-API). By doing so, you acknowledge and agree that:

  • Authorization: You are the legal owner of the Amazon Seller account, or you have explicit authorization to grant API access on behalf of the account owner.
  • Fair Usage: You will not use MaruTally to intentionally spam, overload, or maliciously query the Amazon SP-API. MaruTally implements rate limiting to protect API integrity, and abusive behavior may result in account suspension.
  • Revocation: You may revoke MaruTally's access to your Amazon account at any time via Amazon Seller Central. Doing so will immediately halt automated accounting synchronization.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your MaruTally credentials and your TallyPrime environment. MaruTally is not liable for data corruption or unauthorized access resulting from compromised user hardware, weak passwords, or compromised local networks.

4. Subscriptions and Billing

MaruTally is a subscription-based service.

  • Payment: Subscription fees are billed in advance on a recurring basis. All payments are non-refundable unless explicitly stated otherwise or required by law.
  • Order Volume Limits: Pricing tiers may be tied to the monthly order volume processed through the SP-API. Exceeding these limits may require an upgrade to a higher tier.
  • Cancellation: You may cancel your subscription at any time. Your access will remain active until the end of the current billing cycle.

5. Limitation of Liability

To the maximum extent permitted by applicable law, MaruTally shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Marketplace Actions: MaruTally is a third-party application. We are not responsible for any actions taken by Amazon, Flipkart, or other marketplaces regarding your seller account, including account suspensions, funds withholding, or policy violations. You are solely responsible for ensuring your business operates within marketplace guidelines.

6. Data Accuracy and Accounting Disclaimers

While MaruTally strives for 100% accuracy in translating API payloads to Tally vouchers, we provide a software tool, not professional accounting or tax advice. You and your Chartered Accountant (CA) remain solely responsible for verifying the accuracy of your financial records, GST returns, and tax filings before submission to government authorities.

7. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or if Amazon revokes our developer privileges due to actions originating from your account.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms will be subject to the exclusive jurisdiction of the courts located in India.
